You are not required to register in order to access the Website. However, in order to create projects, purchase credits and use certain other features and services of the Website, you will have to register and create a unique, password-protected account (“Account”). You agree to: (a) provide true, accurate, current, and complete information as prompted by the registration form; and (b) maintain and update such information to keep it true, accurate, current, and complete at all times. We reserve the right to delete your Account without warning if you are found to have misrepresented your age or any of the registration information submitted. You are responsible for maintaining the confidentiality of your password and email address. You agree to (a) immediately notify us of any unauthorized use of your password or account, or any other breach of security, and (b) ensure that you exit from your account at the end of each session. You will be solely responsible for safeguarding your password and also for any actions under your password and Account, whether authorized by you or not. Multiple accounts held by the same individual or entity are subject to immediate termination unless expressly authorized in writing by eCGlobal Solutions (including by electronic mail).
eCGlobalPanel Inc. may modify this Agreement from time to time at our sole discretion and such modification shall be effective upon a) posting notices of changes on the Website and sending you e-mail about these changes or b) upon our notifying you through your Website member account. Once we post them on the Website and notify you, these changes become effective immediately and if you use the Website after they become effective it will signify your agreement to be bound by the changes. You should check back frequently and review the terms and conditions of this Agreement regularly so you are aware of the most current rights and obligations that apply to you and the terms and conditions of your agreement with us. We reserve the right to change, modify, withdraw, suspend or even permanently discontinue all or any portions of the Website at any time, without any liability or obligation to you, upon providing reasonable notice.
The prices for the products and services will be as stated on your License Agreement. You are responsible for all charges associated with your use of the Website, as notified in your account, and you agree to pay all such charges, including any applicable taxes, at the rates effective at the time they are incurred. eCGlobalPanel Inc. may change pricing for licenses and fees for other services at any time and in its sole discretion. Any such pricing changes will be effective upon the renew of your license agreement.
The Website utilizes credits for the purchase of services from eCGlobalPanel Inc., its affiliates and partners (the “Credits”). Credits may be purchased from the Website (within your account area of the Website) at any time and may be applied to buy services. Credits are consumed from your account when you start a new project. Credits may be purchased with VISA, MasterCard, AMEX, or with an approved check or money order by mail. The price of each Credit will be the price specified on your License Agreement at the time of your purchase. The number of Credits required to each project may vary dependent upon numerous factors but will be displayed to you prior to you start such project.
Upon your presentation of credit card information for any purchase made through the Website, you represent and warrant that you are the cardholder of such credit card, or an authorized agent of the cardholder, and the billing information you provide in connection with such purchase is accurate. By purchasing a product or service through the Website, you authorize eCGlobalPanel Inc. to charge the presented credit card for the total amount of such purchase.
User shall indemnify, defend and hold harmless eCGlobal Solutions, its affiliates, and their respective directors, officers, employees, servants and agents from and against all claims, demands, damages, liabilities and costs (including attorneys’ fees on a full indemnity basis) arising out of or in connection with:
User’s use of the Site or the Services, including User’s use of or reliance on any information or materials (including survey or poll results or responses) obtained through the use of the Site or the Services,
any other use of the Services by a third party using User’s account (whether or not authorized by User),
User’s breach of this Agreement, including any of User’s representations and warranties under this Agreement,
or User’s contravention of any applicable law, including the CAN-SPAM Act of 2003.
Your use of this Site is governed by the eCGlobal Solutions privacy policy, which is available at the “Privacy Policy” http://surveys.ecglobal.com/en/privacy-policy.
7.1 IN NO EVENT SHALL ECGLOBAL SOLUTIONS, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SERVANTS OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF USE OR DATA, OR COSTS OF COVER, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF ECGLOBAL SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING DAMAGES ARISING OUT OF:
(a) THE USE OR PERFORMANCE OF, THE DELAY IN PROVIDING, THE FAILURE TO PROVIDE, OR THE INABILITY TO USE, THE SITE OR THE SERVICES, OR
(b) ANY INFORMATION, SOFTWARE, PRODUCTS OR SERVICES CONTAINED IN OR AVAILABLE THROUGH THE SITE OR THE SERVICES, INCLUDING INFORMATION, SOFTWARE, PRODUCTS AND SERVICES MADE AVAILABLE BY OTHER USERS OF THE SITE OR THE SERVICES.
USER SPECIFICALLY AGREES THAT ECGLOBAL SOLUTIONS, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SERVANTS AND AGENTS SHALL NOT BE LIABLE FOR:
(c) UNAUTHORIZED ACCESS TO OR ALTERATION OF ANY TRANSMISSIONS OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR NOT RECEIVED, OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SITE OR THE SERVICES OR IN RELIANCE UPON ANY INFORMATION OBTAINED THROUGH THE USE OF THE SITE OR THE SERVICES,
(d) ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OF ANY OTHER PARTY OR ANY INFRINGEMENT OF A THIRD PARTY’S RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS, OR
(e) ANY CONTENT SENT USING, OR INCLUDED IN, THE SITE OR THE SERVICES BY ANY THIRD PARTY.
IF USER IS DISSATISFIED WITH ANY PORTION OF THE SITE OR THE SERVICES, USER’S SOLE AND EXCLUSIVE REMEDY IS TO TERMINATE THIS AGREEMENT AND DISCONTINUE USING THE SITE AND THE SERVICES.
7.3 USER ACKNOWLEDGES AND AGREES THAT WITHOUT THE FOREGOING EXCLUSIONS AND LIMITATIONS OF LIABILITY, ECGLOBAL SOLUTIONS WOULD NOT BE ABLE TO OFFER THE SITE OR THE SERVICES, AND THAT SUCH EXCLUSIONS AND LIMITATIONS OF LIABILITY SHALL APPLY, EVEN IF THEY WOULD CAUSE USER’S REMEDIES UNDER THIS AGREEMENT TO FAIL OF THEIR ESSENTIAL PURPOSE. Notwithstanding the foregoing, some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages in certain circumstances, and so the foregoing limitation and exclusions may not apply to User to that extent.
Access to and use of this Site, shall be governed by and construed in accordance with the laws of Florida, USA, without giving effect to any principles or conflicts of law. If any provision of these Terms of Use shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
